Terms of Use
1. About these terms
These Terms of Use (“Terms”) govern your access to and use of the AdsOtter website and application (the “Service”) provided by AdsOtter (“AdsOtter”, “we”, “us”). By creating an account or using the Service you agree to these Terms. If you use the Service on behalf of an organisation, you confirm that you are authorised to bind that organisation. The operating legal entity and its registration details are published on adsotter.com once incorporation is complete.
2. Who may use the Service
The Service is intended for business use. You must be at least 18 years old and able to enter into a binding agreement. You are responsible for the activity that takes place in your account and for keeping your sign-in secure.
3. What the Service does
AdsOtter helps you plan, launch, manage, measure and optimise advertising on advertising platforms you connect (such as Google, Microsoft and Meta). A core principle is that you keep control: campaigns are created paused, changes are proposed as advice with the reasoning shown, and they are applied only after you approve them — unless you explicitly enable automatic application for certain categories, within the guardrails and limits you configure, with an emergency stop always available.
4. Your responsibilities
- Authorisation. You authorise AdsOtter to access and act on the advertising accounts you connect, on your behalf. You confirm you are entitled to grant that access.
- Lawful, compliant advertising. You are responsible for ensuring your advertising, websites, products and data comply with applicable law and with the policies of each advertising platform you use.
- Ad budgets. Advertising spend is billed to you directly by the platforms (Google, Microsoft, Meta). AdsOtter does not fund or pay your ad budgets and is not responsible for amounts charged by those platforms.
- Your data. You confirm you have the rights and, where required, the legal basis and consents for any data you upload or send to the Service (including conversion data about your end-users), and that you will provide those individuals with any required privacy information.
- Accurate information. You keep your account and connection details accurate.
5. Connected platforms
AdsOtter is an independent tool and is not affiliated with, endorsed by, or sponsored by Google, Microsoft or Meta. Your use of those platforms remains subject to their own terms and policies. We are not responsible for changes, outages, decisions or account actions taken by those platforms.
6. Acceptable use
You agree not to: use the Service for unlawful, misleading or harmful advertising; attempt to circumvent an advertising platform’s policies through the Service; access data of other customers; probe, disrupt or overload the Service; reverse engineer or copy the software except where the law allows; or use the Service to build a competing product.
7. Fees
Paid plans are billed in advance on a recurring basis according to the plan you choose and are, unless stated otherwise, cancellable monthly. During early access some features may be free or discounted. Fees exclude VAT unless stated. Ad budgets are separate and are paid to the platforms, not to AdsOtter.
8. Intellectual property
AdsOtter and all software, designs and content of the Service are owned by AdsOtter and its licensors. You receive a limited, non-exclusive, non-transferable right to use the Service during your subscription. You retain ownership of your own data and the campaigns created in your advertising accounts.
9. Data protection
Our handling of personal data is described in our Privacy Statement. Where we process personal data on your behalf, a data processing agreement applies and forms part of these Terms.
10. No guarantee of results; “as is”
Advertising performance depends on many factors outside our control, including the platforms, your market, your website and your budgets. AdsOtter provides tools and advice; the decisions are yours. The Service is provided “as is” and “as available”, without warranties of any kind to the extent permitted by law. We do not guarantee any particular advertising outcome, ranking, cost or return.
11. Limitation of liability
To the maximum extent permitted by law, AdsOtter is not liable for indirect or consequential loss, including lost profits, lost revenue, or advertising spend. Our total liability arising out of or in connection with the Service is limited to the fees you paid to AdsOtter for the Service in the three (3) months before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law.
12. Term and termination
You may stop using the Service and cancel your subscription at any time in line with your plan. We may suspend or terminate access if you breach these Terms, if required by law, or to protect the Service or other customers. On termination, your right to use the Service ends; we will make your data available for export for a reasonable period and then delete it, subject to legal retention duties.
13. Changes
We may update the Service and these Terms. Material changes to the Terms will be announced through the Service or by email; continued use after they take effect means you accept them.
14. Governing law and disputes
These Terms are governed by the laws of the Netherlands. Disputes will be submitted to the competent Dutch court, unless mandatory law provides otherwise.
